Notice Requirement and Informal Dispute Resolution

Prior to either party's right to request arbitration, the party shall first serve to the other party a written Notice of Dispute stating the nature and basis of the claim or dispute, and the relief sought. A Notice to the Company should be served to:

Once the Notice is received, you and the Company may try to settle the claim or dispute amicably. If the claim or dispute is not settled within thirty (30) days of receipt of the Notice, either party may initiate arbitration proceedings. Any settlement proposal presented by either party shall not be disclosed to the arbitrator until after the arbitrator has determined the award amount.

Confidentiality

All aspects of the arbitration proceedings shall remain strictly confidential. Both parties agree to maintain confidentiality except where disclosure is required by law. This does not prevent either party from presenting necessary information before a court of law to enforce these Terms, an arbitration award, or to seek injunctive or equitable relief.

Electronic Communications

Communications between you and the Company occur electronically, whether through the use of the Site, email communication, or notices posted on the Site. For legal purposes, you agree to receive communications from the Company electronically and acknowledge that such communications satisfy any legal requirements that written communications would fulfill.

Entire Terms

These Terms constitute the entire agreement between you and the Company regarding the use of the Site. Failure to enforce any right or provision shall not constitute a waiver of such right. Section titles are for convenience only and have no legal effect. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Your relationship with the Company is that of an independent contractor and not a partnership or agency. You may not assign or transfer your rights under these Terms without prior written consent from the Company. The Company may freely assign these Terms, and they shall bind all permitted assignees.
